In the Private Equity and Venture Capital sector, the firm has gained significant experience in investment operations, mainly regarding companies in the media, new technologies and Internet sector thanks to the firm’s focus on the Technology Media and Telecommunications (TMT) sector, combining unique technical expertise and knowledge of the industry in Italy.

The private equity and venture capital team is composed of professionals specialized in contractual, corporate, financial and fiscal aspects, all noted by several rankings as industry experts.

Our firm has significant experience in Private Equity and Venture Capital, having assisted investment funds, target companies, founders and management operations in start-ups, early stage investment, development and follow-on capital, leveraged buy-out (LBO), secondary purchase and management buy-outs (MBOs) in their various forms and exit.

The firm is a member of AIFI (Italian Private Equity and Venture Capital Association) since the foundation of this association and has worked for over 10 years with the AIFI Tax and Legal Committee on research, publications and seminars on private equity.

Our professionals regularly participate as speakers at conferences and events in the area organized by the ABA (American Bar Association), AIFI, AIJA (Association Internationale des Jeunes Avocats [International Young Lawyers’ Association]) and IBA (International Bar Association).

The firm was recognized by the Financial Times in the Innovative Lawyers Report 2011 as among the most innovative law firms in Europe for the third consecutive year. Our lawyers aim to be innovative and creative during the execution of Private Equity operations. An example of our innovative approach and our commitment to technical excellence is the research on the bylaws of Italian portfolio companies of investment funds, to analyze market trends and best practices in co-sale, tag-along clauses, privileges in profit distribution and corporate governance issues. This research was the first of its kind in Italy, and showed, surprisingly, that the investment funds use these tools in their bylaws far less than one thinks.

This is just one example of how the firm invests in the training of its professionals in order to provide its clients with more suitable and more innovative solutions and structures.
